1. Acceptance of these Terms
By browsing the Marketplace, submitting or managing a listing, sending an inquiry, requesting a quotation, or otherwise using the Marketplace, you agree to these Terms of Use and acknowledge the RI District 3780 Privacy Policy. If you do not agree, do not submit a listing or inquiry or use the Marketplace to initiate a transaction.
2. Purpose and role of the Marketplace
The RID3780 Online Marketplace is provided as a directory and community commerce platform where Rotarians, Rotary Clubs, approved organizations, and other authorized listers may present products, services, professional offerings, opportunities, sponsorships, donations, resources, or other permitted listings to Rotarians and, where a listing is public, to the general public.
District 3780 provides the digital platform and may review content for publication. Marketplace review or approval is not an endorsement, accreditation, certification, recommendation, warranty, guarantee, or independent verification of a lister, business, product, service, price, claim, professional qualification, availability, legality, fitness, quality, safety, or transaction.
3. Transactions are between users
Any purchase, sale, booking, engagement, reservation, rental, employment discussion, quotation, donation, sponsorship, professional engagement, service exchange, delivery, refund, warranty claim, or other availment arising from a Marketplace listing is solely between the lister and the responding user or customer, whether they are Rotarians, non-Rotarians, organizations, or members of the general public. District 3780 is not a party to that transaction and does not receive authority to bind either party merely because the Marketplace was used to make contact.
Listers and users are solely responsible for agreeing on price, scope, specifications, payment terms, delivery, fulfillment, warranties, returns, refunds, cancellations, taxes, receipts, permits, licenses, insurance, after-sales obligations, and any other commercial or legal terms relevant to their transaction.
4. Lister responsibilities
A lister must provide accurate, current, lawful, and non-misleading information and must have the authority to offer the listed product, service, opportunity, property, sponsorship, donation request, or other subject matter. The lister is responsible for required registrations, permits, licenses, professional credentials, tax obligations, consumer disclosures, intellectual-property rights, and compliance with applicable laws and regulations.
A lister must not imply that Rotary International, District 3780, a Rotary Club, or the Marketplace endorses or guarantees the listing unless a specific written authorization states otherwise.
5. User and customer responsibilities
Users should exercise reasonable due diligence before entering any transaction. This may include verifying identity, business registration, professional credentials, permits, product condition, scope of work, pricing, payment instructions, delivery arrangements, warranties, refund terms, and other information material to the transaction.
Users should communicate directly with the lister regarding transaction-specific questions and should not send passwords, one-time PINs, card credentials, or other sensitive authentication information through Marketplace inquiry forms.
6. Payments and fees
Any Marketplace listing, promotion, or platform fee charged by District 3780 or its authorized service provider is a fee for use of Marketplace features and does not make District 3780 a party to the underlying commerce transaction. Unless a listing or checkout flow expressly states otherwise, payments for goods or services offered by a lister are arranged directly between the lister and the user.
Third-party payment providers may have their own terms, privacy practices, processing rules, fees, dispute procedures, and service limitations.
7. Prohibited or restricted activity
Users must not use the Marketplace for unlawful, fraudulent, deceptive, infringing, abusive, unsafe, or unauthorized activity. District 3780 may reject, suspend, unpublish, archive, or remove listings or restrict access when reasonably necessary to protect users, the Platform, Rotary reputation, or legal and operational interests.
8. No warranties
The Marketplace and Marketplace content are provided on an “as available” basis. To the fullest extent permitted by applicable law, District 3780 does not make warranties regarding the accuracy, completeness, availability, merchantability, fitness for a particular purpose, quality, safety, legality, non-infringement, or results of any listing, lister, inquiry, product, service, or transaction.
9. Limitation of liability
To the fullest extent permitted by applicable law, Rotary International District 3780, participating Rotary Clubs acting only as platform participants, Marketplace administrators, officers, volunteers, and authorized technical service providers will not be liable for losses, damages, claims, injuries, disputes, payment failures, non-delivery, defective goods, poor service, misrepresentation, cancellation, refund disputes, professional advice, data supplied directly between users, or other consequences arising from or related to commerce activities conducted between Marketplace users.
Nothing in these Terms excludes or limits a responsibility that cannot lawfully be excluded or limited under applicable law.
10. Disputes between users
Listers and users are expected to resolve transaction disputes directly with each other and, where applicable, through the relevant payment provider, regulator, professional body, or lawful dispute-resolution process. District 3780 may provide available platform records when appropriate and lawful but is not required to act as arbitrator, mediator, collection agent, refund processor, or guarantor for user-to-user transactions.
11. Indemnity
To the extent permitted by law, a user or lister is responsible for claims, losses, or costs arising from that party’s unlawful conduct, misleading listing, breach of these Terms, infringement of third-party rights, or failure to fulfill obligations undertaken in a Marketplace transaction.
12. Privacy and inquiries
Personal information submitted through accounts, listings, inquiries, and related Marketplace activity is handled in accordance with the RI District 3780 Privacy Policy. Inquiry information may be shared with the relevant lister so that the lister can respond to the user’s request.
13. Intellectual property
Listers retain responsibility for content they submit and must have permission to use uploaded text, photographs, logos, trademarks, documents, and other materials. Submission grants the Marketplace the limited permission necessary to host, display, resize, distribute, and technically process the content for Marketplace operation and promotion of the listing.
14. Availability and changes
District 3780 may modify, suspend, discontinue, or change Marketplace features, categories, review requirements, fees, security controls, or these Terms when reasonably necessary. Updated Terms become effective when published with a revised effective date, subject to any additional notice required by law.
15. Governing law
These Terms are governed by the laws of the Republic of the Philippines. Mandatory rights and remedies available under applicable Philippine law remain unaffected.
16. Contact
Questions about the Marketplace or these Terms may be sent through the official District 3780 contact channels published on the District website.
